Bill Intelligence
The bill aims to modify rules related to corporate reorganizations for certain large corporations. It stipulates that for mergers, consolidations, acquisitions, or transfers exceeding $500,000,000 in combined annual gross receipts, special rules will apply to prevent the treatment as a standard reorganization. Additionally, there are exceptions and rules in place to prevent abuse of these provisions. The threshold amount will be subject to inflation adjustment after 2026. The bill also requires the Secretary to issue regulations and guidance to effectively implement and prevent abuse of these rules. These amendments will apply to transfers after the date of the enactment of this Act.
